Chapter IV - Review questions: Open-ended questions

  1. Is there a preferable ownership structure for the firm (e.g. family firm is better than State owned or widely held firm)? Why?
  2. In case of wholly owned corporations are there agency problems? Why?
  3. Why is it necessary to have a lead independent director?
  4. What are the positive attributes of the board independence?
  5. What is the role of the board according to agency theory?
  6. What is the role of the board according to Economia Aziendale theory?
  7. What are the limits of the input-output model?

  3. After watching the video YouTube 21 Betty Martini addressing Coca-Cola CEO Muhtar Kent at the 2011 Shareholders Meeting
  • a. if you were the CEO of CocaCola Muthar Kent what would be your answer to Betty Martini? 
  • b. as shareholder are you satisfied of that answer supposing that you are: 1) only shareholder oriented; 2) you take care also of the social responsibility of the firm.
4. After watching the video YouTube 21 Ray Rogers addressing Coca-Cola CEO Muhtar Kent at the 2011 Shareholders Meeting as shareholder how do you evaluate the way the CEO manage that situation?

  1. Is it possible for the firm survival being totally responsible with all the stakeholders (i.e. adopting the multi-stakeholder approach)?
  2. Is it possible for an azienda satisfy human needs destroying value? Why?
  3. Is it always true that when an individual owns the total equity of a company his/her interest is aligned with that of the company itself? Why?
  4. What is the difference between economicità and economic equilibrium?
  5. For whom the azienda must create value?
  6. What is the connection between “primary interest” and “common good”?
  7. What is the primary interest of the business entities?
  8. What is the difference between the Economia Aziendale and the Shareholder theory with regard to the time reference for the value creation?

  1. After watching the video YouTube 3 (Milton Friedman on Self-Interest and the Profit Motive 1of2), discuss the strength and weaknesses of the Milton Friedman’s thought
  2. After watching the video YouTube 5 “Stakeholders vs. Shareholders”: Haas faculty debate “Whom exactly should business serve?”, discuss it and give your opinion: Are you more “shareholders” or “stakeholders” oriented?
  3. Give your opinion on the video YouTube 6 “Who’s Minding the Store? The Ethics of Corporate Governance for what concern the BP case”
  4. What did you learn from the previous courses (in “Tor Vergata” or other Universities)? Are firms oriented to the shareholders or stakeholders? 
  5. Find a company that create an unsustainable profit, saying why it is unsustainable (e.g. because of the environment or society)
  6. Find two useless business or non-business entities: One should be useless since it does not meet human needs, the other because it does not create value

Chapter I - Review questions: Open-ended questions

  1. What is the general definition of organization?
  2. What is the definition of azienda?
  3. Why does the Italian doctrine Economia Aziendale is relevant for a course of Corporate Governance?
  4. Why does the term Economia Aziendale has not been translated into English?
  5. Describe the concept of economicità using one or more examples
  6. Summarize the content of the YouTube video “corporate collapse”

Chapter I - Questions for the Blog discussion

The Blog activism is worth 10% of the total final mark. So please discuss on the Blog at least two of the following questions. The first three questions must be answered preferably immediately after the introduction of the course:
  1. Do you think that there is a single objective (or purpose) for all the organizations (e.g. an hospital, a firm like Apple, Microsoft, a non-profit organizations)? Why? 
  2. What could be the interests of the entrepreneur in running a business (e.g. a restaurant)? Do you think the business (i.e. the restaurant) may have a different interest compared to its owner? Why? 
  3. What could be the interest of a politician in running a public administration? 
  4. Considering two managers both acting with economicità. Make an example on how they face the same problem (e.g. is it right to invest in research and development?) having different purposes (e.g. maximization of the profit in a short term or value creation for the firm in the long period).
